Terms of Service

Master agreement structure

These Terms of Service ("Terms") govern your access to and use of AltFiScore AI Inc.'s websites, APIs, lender portal, and related services (collectively, the "Services"). If you are accessing the Services on behalf of an organization, you represent that you are authorized to bind that organization. References to "you" or "your" mean the individual or organization, as applicable.

1. Acceptance of Terms

By accessing or using the Services, creating an account, generating an API key, or submitting any API request, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

These Terms apply to all users. Customers with executed Master Services Agreements ("MSAs") are additionally governed by those MSAs; in any conflict, the MSA controls over these Terms for that Customer.

2. Eligibility

You may use the Services only if:

  • You are at least 18 years old (or the applicable age of legal majority in your jurisdiction).
  • You have legal capacity to enter into a binding contract.
  • Your use complies with all applicable laws, including, where you originate consumer credit, applicable lending licensing requirements.
  • You are not barred from using the Services under U.S. or other applicable sanctions or export-control law.

3. Accounts and API Keys

You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys.
  • All activity that occurs under your account or via your API keys, regardless of whether you authorized it.
  • Notifying us immediately at legal@altfiscore.com upon any actual or suspected unauthorized use.
  • Promptly revoking compromised keys via the lender portal.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose, in violation of any law, regulation, or third-party right.
  • Submit personal information of any Consumer without their authorization where such authorization is required by applicable law.
  • Reverse-engineer, decompile, or otherwise attempt to derive source code, algorithms, model weights, decision logic, or trade secrets of the Services, except to the extent expressly permitted by applicable law.
  • Resell, sublicense, or redistribute the Services or output thereof except as expressly permitted in an executed MSA.
  • Use the Services to make automated decisions in any jurisdiction without complying with that jurisdiction's transparency and human-review obligations.
  • Use the Services to discriminate against any protected class in violation of fair-lending law (ECOA, Fair Housing Act, or equivalent).
  • Probe, scan, or test the vulnerability of any AltFiScore system without prior written authorization.
  • Use the Services in any manner that exceeds applicable rate limits or otherwise interferes with the operation of the Services.
  • Misrepresent your identity or affiliation, or otherwise gain access through false credentials.

5. Services

AltFiScore provides credit decisioning infrastructure that returns decisions, scores, recommended terms, and compliance artifacts to licensed lenders. AltFiScore is not itself a lender and does not make lending decisions. Final approval, denial, pricing, and consumer-facing notices are the responsibility of the Customer.

5.1 Sandbox vs. Production

AltFiScore offers a sandbox environment with isolated test data and a production environment serving real Consumers. Sandbox API keys are identified by the altfi_test_ prefix; production keys use altfi_live_. Sandbox usage is non-billable; production usage is billed per your applicable plan or MSA.

5.2 Service Level

AltFiScore targets 99.9% monthly uptime for production APIs. Specific service level commitments, credits, and excluded events are defined in your MSA. The sandbox environment is provided as-is without a service-level commitment.

6. Fees and Billing

Production use of the Services is subject to fees as set forth in your order form, MSA, or current public pricing schedule, if any. Fees are non-refundable except as expressly stated. We reserve the right to suspend Services for non-payment after providing reasonable notice.

7. Customer Data

"Customer Data" means data submitted by Customer or by Consumers through Customer-controlled flows. Customer retains all ownership of Customer Data. Customer grants AltFiScore a non-exclusive, worldwide, royalty-free license to use Customer Data solely as necessary to provide the Services.

Customer represents and warrants that it has obtained all necessary rights, consents, and authorizations to submit Customer Data to AltFiScore.

7.1 De-identified data

AltFiScore may create and use de-identified data derived from Customer Data to operate, maintain, and improve the Services, provided that such de-identified data does not identify any individual or Customer and is not re-identifiable.

8. Intellectual Property

AltFiScore retains all right, title, and interest in and to the Services, including software, algorithms, models, designs, documentation, and any improvements thereto. Nothing in these Terms grants Customer any right to AltFiScore intellectual property except a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

9. Confidentiality

Each party agrees to protect the other's Confidential Information with the same degree of care it uses for its own confidential information, and at minimum a reasonable degree of care. "Confidential Information" includes API keys, non-public technical specifications, pricing, and any other information that is marked or reasonably understood to be confidential.

10. Compliance Responsibilities

Customer acknowledges and agrees that:

  • Customer is solely responsible for compliance with applicable lending, banking, consumer-protection, and privacy laws in each jurisdiction where Customer originates credit, including but not limited to TILA, ECOA, FCRA, GLBA, Fair Housing Act, state lending licensing, and EU consumer-credit regulations.
  • Customer is responsible for providing adverse action notices to Consumers in compliance with ECOA Regulation B and FCRA section 615.
  • Customer is responsible for obtaining all Consumer disclosures, authorizations, and consents required by applicable law before submitting data to the Services.
  • AltFiScore is a service provider only and does not control whether Customer's resulting lending decision complies with applicable law.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH DISCLAIMER IS PROHIBITED BY APPLICABLE LAW.

ALTFISCORE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

EXCEPT FOR (A) BREACHES OF CONFIDENTIALITY, (B) INDEMNIFICATION OBLIGATIONS, OR (C) AS OTHERWISE PROHIBITED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR USE.

ALTFISCORE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO ALTFISCORE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions (including the EU and UK for consumer transactions) do not allow certain limitations of liability. To the extent any such limitation is unenforceable in your jurisdiction, the limitation will apply to the maximum extent permitted.

13. Indemnification

Customer will indemnify, defend, and hold harmless AltFiScore from any third-party claim arising from: (a) Customer's violation of these Terms, applicable law, or third-party rights; (b) Customer Data; (c) Customer's lending decisions made using the Services; or (d) Customer's failure to deliver required disclosures to Consumers.

14. Term and Termination

These Terms remain in effect until terminated. You may stop using the Services at any time. We may suspend or terminate your access:

  • For breach of these Terms.
  • For non-payment of fees.
  • If required by law, regulator, or legal process.
  • To address an imminent security or legal risk.

Upon termination, your right to access the Services ceases. Sections intended by their nature to survive — including but not limited to Sections 7, 8, 9, 11, 12, 13, and 17 — will survive termination.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting a revised Terms document and, where appropriate, notifying you directly. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

16.1 United States

For Customers and users located in the United States, these Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, subject to applicable consumer law where the Customer is a natural person.

16.2 European Economic Area

For Customers and users located in the EEA, these Terms are governed by Irish law (without prejudice to mandatory consumer-protection rules in the user's country of residence). Disputes will be resolved by the courts of Ireland, subject to mandatory jurisdiction rules under EU law.

16.3 United Kingdom

For Customers and users located in the UK, these Terms are governed by the laws of England and Wales. Disputes will be resolved by the courts of England and Wales, subject to mandatory consumer-protection rules under UK law.

17. EU and UK Consumer Rights

Where you are a consumer in the EU or UK, you have mandatory consumer rights that cannot be waived by contract. Nothing in these Terms limits or excludes those rights, including:

  • The right to a 14-day withdrawal period for distance contracts where applicable.
  • Rights under EU Directive (EU) 2019/770 on contracts for the supply of digital content and digital services.
  • UK Consumer Rights Act 2015 rights, where applicable.
  • Liability for death, personal injury caused by negligence, fraud, or fraudulent misrepresentation is never excluded.

18. General

  • Entire Agreement. These Terms, the Privacy Policy, and any executed MSA constitute the entire agreement between you and AltFiScore regarding the Services.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger or sale of business.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
  • Notices. Legal notices to AltFiScore must be sent to legal@altfiscore.com.
